Draft for counsel review

Agricultural risk disclosure

A managed agricultural leasehold can experience partial or total crop loss and may require additional member decisions or funding. Prospective leaseholders should review final documents and obtain independent professional advice.

Production and weather

Rain-fed cultivation depends on rainfall timing and volume. Drought, flood, pests, disease, fire, soil conditions and field execution may reduce or eliminate a harvest.

Costs and reserves

Input, labor, fuel, equipment, logistics, statutory and financing costs may change. The intended waterfall funds documented operating requirements, the next season and approved reserves before calculating distributable profit.

Market and counterparty

Buyer relationships do not guarantee purchase volume, acceptance, timing, quality approval, price or settlement. Processing, transport, border and foreign-exchange conditions may affect results.

Land and regulatory

Survey, consent, registration, transfer, inheritance, renewal and use remain subject to the executed instruments, land rights, Ghanaian law and required approvals.

Crop failure procedure

If proceeds cannot fund the next crop, members may receive a documented recovery or capital proposal. A member who does not participate may have the parcel left unplanted for that cycle, subject to the final agreements and cooperative rules.

Insurance

Insurance may be limited, unavailable or subject to exclusions, deductibles and claims decisions. No website statement should be treated as confirmation of coverage.
